Those who choose to access the Services from other locations do so on their own initiative and are responsible for compliance with applicable local laws. Although iTrust Ventures and the licensees take certain steps to examine the credentials of craftsman and service advisors, iTrust Ventures makes no guarantees or representations regarding the skills or representations of such craftsman or service advisors or the quality of the job that he or she may perform for you if you elect to retain their services. iTrust Ventures does not endorse or recommend the services of any particular craftsman. It is entirely up to you to evaluate an individual’s qualifications. iTrust Ventures may display licensing information, award recognition, homeowner ratings, reviews or business ratings through proprietary or third-party services that may be provided by licensee or craftsman on the iTrust Ventures national Website, on the licensee’s website, or through Mobile Apps, however iTrust Ventures does not confirm (i) the accuracy, of any such information, (ii) that any such licenses, award recognition or business ratings are active or in good standing, or (iii) that any such license, award recognition or business ratings are appropriate for the task for which you are seeking a service advisor or craftsman. We recommend that you confirm all licensing requirements, award recognitions, business ratings or business standings before proceeding with any work you may contract to have performed.
User IDs and Passwords
You will be solely responsible for the maintenance and security of any login identifiers and passwords. If you have a login identifier and password that are unique to you, you agree not to disclose or share your login identifier and password with any third party. iTrust Ventures reserves the right to deny or revoke access to the Services, including the Website or Mobile App, or any part thereof, at any time in its sole discretion, with or without cause. Your access to the Services will terminate upon the termination of these Terms of Use by iTrust Ventures for any reason.
Use Restrictions / Exceptions
The copyright in all material provided on the Services, including the Website and Mobile App, is held by iTrust Ventures or by the original creator of the material. Except as stated below, none of the material may be copied, reproduced, altered, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without the prior written permission iTrust Ventures or the copyright owner. Permission is granted for anyone legally using the Website or Services to display, copy, distribute and download the materials on the Website or Mobile Apps for individual use only, provided you do not modify the materials and that you retain all copyright and other proprietary notices contained in the materials. iTrust Ventures authorized dealers, distributors or warranty service providers may make multiple copies of such material as long as it is used for iTrust Ventures business purposes. Any such permission terminates automatically if you breach any of these terms or conditions. Upon termination, you must immediately destroy any downloaded and printed materials. You may not upload any files that contain viruses, Trojan horses, trap doors, back doors, Easter eggs, time bombs, worms, cancelbots, corrupted files or any other similar software that may damage the operation of another’s computer or mobile device. You may not defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others. You may not publish, post, upload, distribute or disseminate any profane, defamatory, infringing obscene, or unlawful topic or information. You may not data-mine, data-crawl or index any of the iTrust Ventures websites or mobile devices, including the Website and Mobile Apps. You may not upload content that is offensive and or harmful including, but not limited to content that condones or promotes bigotry, hatred, racism, exploitation or physical harm. You acknowledge that a violation of the foregoing could result in significant damages, and you agree that you are liable to iTrust Ventures for any such damages, and will indemnify iTrust Ventures in the event of any third party claims against iTrust Ventures based on or arising from your violation of the foregoing. We reserve the right to revoke your access to any iTrust Ventures Services at any time. All information about iTrust Ventures is confidential and for your personal use only. If it is determined or suspected by iTrust Ventures , in its sole discretion, that you are misusing or attempting to misuse or circumvent the iTrust Ventures services or system, or are using or attempting to use them for any inappropriate or non-personal purposes, including but not limited to activities such as hacking, scraping content, infiltrating, fraud, advertising, jamming or spamming, iTrust Ventures reserves the right, in its sole discretion, to immediately terminate your access to the Services without notice and to initiate without notice appropriate legal actions or proceedings to seek appropriate remedies and/or damages, including but not limited to lost revenue, repairs, legal fees, costs and expenses, and to seek injunctions or other equitable remedies.
Trademarks, Copyrights, and Other Intellectual Property
This Website contains iTrust Ventures trademarks and service marks. All rights in the intellectual property contained in the Website including copyright, trademarks, trade secret and patent rights are reserved. All materials contained on the Website are subject to the ownership rights of iTrust Ventures.
All text, graphics, editorial content, data, formatting, graphs, designs, HTML, look and feel, photographs, music, sounds, images, software, videos, designs, typefaces and other content (collectively, “Proprietary Material”) that users see or read on the Services is owned by iTrust Ventures or are used by permission. iTrust Ventures, its craftsmen and/or service advisors may, with or without your permission, post photographs and videos of any job or job site to the Website and/or Mobile Apps, including, but not limited to, photographs and videos showing the progress of a job at a job site. By using and continuing to use the Website, Mobile Apps and Services, you agree to release iTrust Ventures (and iTrust Ventures officers, directors, affiliates, employees and agents) from all claims arising from or related to such photographs and videos, including the action of posting such photographs to the Website and/or Mobile Apps. Further, you hold iTrust Ventures (and iTrust Ventures officers, directors, affiliates, employees and agents) harmless from any claims asserted by any third party relating to or arising from the posting of such photographs. Once posted to the Website and/or Mobile Apps, all photographs and videos will become iTrust Ventures intellectual property and iTrust Ventures will be able to use all photographs in any manner at its sole discretion. You acknowledge and agree that iTrust Ventures, or a third-party service that iTrust Ventures, or its licensees may outsource to, may monitor and or record any telephone calls between you and iTrust Ventures and/or a iTrust Ventures licensee or the licensee’s representatives.

iTrust Ventures may inform you of certain offers or discounts provided by iTrust Ventures and its licensees. Where applicable, such offers or discounts are subject to licensee participation, and any such direct offers must be made solely by the licensee or its representatives. iTrust Ventures does not guarantee or warrant the pricing or discounts that a licensee, service advisor or craftsman may offer you. Any quotes provided by craftsmen, service advisors or the licensees, or which you find via e-mails, websites or apps, are not contractually binding offers from iTrust Ventures , and are for informational purposes only, and cannot be accepted by iTrust Ventures. No contractual arrangement with iTrust Ventures is created based upon the quotes provided to you from craftsman, service advisors or licensees (or from any electronic advertisement) with iTrust Ventures, but instead, you must work directly with the licensee e or their representatives where applicable. iTrust Ventures is a licensor and may not perform, and in those case is not responsible for, any of the services requested by you in your service request. Your rights under contracts into which you enter with licensees are governed by the terms of such contracts with the local licensee and by applicable federal, state, provincial and local laws.
Privacy Practices
Your privacy is a primary concern at iTrust Ventures. iTrust Ventures goal in expanding and clarifying iTrust Ventures policy on the collection and use of customer data is to ensure the highest level of confidentiality and security. When you provide your personal information to iTrust Ventures Website or Mobile Apps, or through other methods (such as name, address, phone number, company name, or the products you are shopping for or purchasing) iTrust Ventures will not give or sell your individual information to any outside company for its use in marketing or solicitation without your consent. We will maintain the confidentiality of your personal information and it will be used only to support your business relationship with iTrust Ventures, the iTrust Ventures licensee, service advisor or craftsman. When iTrust Ventures asks for customer information, it is done with the goal of improving the relationship between iTrust Ventures and the customer. iTrust Ventures intends to help you maintain control over your personal data while fostering the growth of a more interactive online environment. iTrust Ventures intention is to send e-mail and mobile app notifications only to customers or to individuals whom iTrust Ventures believe have chosen to receive such e-mails. At any time, you have the right to opt out of receiving future iTrust Ventures communications. iTrust Ventures does not warrant that your opt-out choices will be successfully executed in all cases, but will make a reasonable attempt to execute all requests.
Release
iTrust Ventures is a licensor and may not be involved in the actual contract between users of the Website, Services or Mobile Apps or in the completion of service. Should you have a dispute with any craftsman, service advisor or licensee, you must address such dispute with the licensee directly where applicable. YOU HEREBY AGREE TO RELEASE ITRUST VENTURES (AND ITRUST VENTURES OFFICERS, DIRECTORS, AFFILIATES, EMPLOYEES AND AGENTS) FROM ANY DAMAGES OR CLAIMS (INCLUDING CONSEQUENTIAL AND INCIDENTAL DAMAGES) OF EVERY KIND OR NATURE, SUSPECTED AND UNSUSPECTED, KNOWN AND UNKNOWN, AND DISCLOSED OR UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES AND YOUR DEALINGS WITH ANY CRAFTSMAN, SERVICE ADVISORS OR LICENSEES.
YOU AGREE NOT TO HOLD ITRUST VENTURES, ITS AFFILIATES, ITS LICENSORS, OR ANY OF SUCH PARTIES’ AGENTS, EMPLOYEES, OFFICERS, DIRECTORS, CORPORATE PARTNERS, OR PARTICIPANTS LIABLE FOR ANY DAMAGE, SUITS, CLAIMS, AND/OR CONTROVERSIES (COLLECTIVELY, “LIABILITIES”) THAT HAVE ARISEN OR MAY ARISE, WHETHER KNOWN OR UNKNOWN, RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR WORK PERFORMED, INCLUDING WITHOUT LIMITATION ANY LIABILITIES ARISING IN CONNECTION WITH THE CONDUCT, ACT OR OMISSION OF ANY USER (INCLUDING WITHOUT LIMITATION STALKING, HARASSMENTTHAT IS SEXUAL OR OTHERWISE, ACTS OF PHYSICAL VIOLENCE, AND DESTRUCTION OF PERSONAL PROPERTY), ANY DISPUTE WITH ANY USER, ANY INSTRUCTION, ADVICE, ACT, OR SERVICE PROVIDED BY ITRUST VENTURES OR ITS LICENSEES, AFFILIATES OR LICENSORS AND ANY DESTRUCTION OF YOUR INFORMATION. UNDER NO CIRCUMSTANCES WILL ITRUST VENTURES, ITS LICENSEES, ITS AFFILIATES, ITS LICENSORS, OR ANY OF SUCH PARTIES’ AGENTS, EMPLOYEES, OFFICERS, DIRECTORS, CORPORATE PARTNERS, OR PARTICIPANTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES OR WORK PERFORMED, EVEN IF ADVISED OF THE POSSIBILITY OF THE SAME. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
IF, NOTWITHSTANDING THE FOREGOING EXCLUSIONS, IT IS DETERMINED THAT ITRUST VENTURES OR ITS LICENSEES, ITS AFFILIATES, ITS LICENSORS, OR ANY OF SUCH PARTIES’ AGENTS, EMPLOYEES, OFFICERS, DIRECTORS, CORPORATE PARTNERS, OR PARTICIPANTS IS LIABLE FOR DAMAGES, IN NO EVENT WILL THE AGGREGATE LIABILITY, WHETHER ARISING IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EXCEED THE TOTAL FEES PAID BY YOU TO ITRUST VENTURES DURING THE 90 DAYS PRIOR TO THE TIME SUCH CLAIM AROSE.
Dispute Resolution Assistance
While iTrust Ventures cannot guarantee the work performed by a specific craftsman, and while iTrust Ventures has no obligation to you with regard to your relationship with a licensee, service advisor or craftsman, iTrust Ventures may try and assist you in resolving any disputes that may arise in the course of a home improvement repair or maintenance project and a service request related to lifestyle needs. We may attempt to assist in the negotiations between a craftsmen, licensee and customer, while respecting the relationships and contracts that may exist between the licensees and customers. We may, upon your request, provide limited assistance in resolving disputes between you and a licensee. If you have any disputes with a craftsman or service advisor, you must resolve your dispute with your licensee. You must participate and use good faith efforts to resolve problems through the resolution process. Such limited assistance in no way nullifies the release and indemnification described in these Terms of Use.
Screening and Disclaimer
iTrust Ventures performs background checks on its employees. iTrust Ventures requests that the licensee does a background check for the craftsman that they send out to estimate and complete jobs. iTrust Ventures does not guaranty that all craftsman and/or service advisors have been background checked, nor does iTrust Ventures warrant or represent that profile and screening information is up to date. iTrust Ventures performs a background check on new licensee by using a third-party source to conduct a criminal, financial and sex offender search in the state where the licensee candidate is located. Please note that iTrust Ventures does not conduct background checks in states that the licensee candidate is not located in. WE PERFORM THE ABOVE SCREENING BASED UPON INFORMATION PROVIDED TO ITRUST VENTURES BY THE INDIVIDUAL, AND WE RELY ON THIRD PARTY DATA FOR THE ACCURACY OF THIS INFORMATION. LICENSEES DO NOT HAVE ONGOING BACKGROUND CHECKS AND THEREFORE WE RECOMMEND THAT BEFORE YOU WORK WITH A LICENSEE THAT YOU VERIFY THE INFORMATION PRESENTED IN THEIR PROFILE IS STILL ACCURATE, CURRENT AND ACCEPTABLE TO YOU.
LICENCEES ARE REQUESTED TO PERFORM SCREENING INITIALLY AT THE TIME THE CRAFTSMAN OR SERVICE ADVISOR APPLIES FOR WORK, AND THEREFORE INFORMATION MAY CHANGE OR EXPIRE OVER TIME. THUS, NEITHER ITRUST VENTURES, NOR THE LICENSEE CANNOT AND DOES NOT WARRANT OR REPRESENT THAT PROFILE AND SCREENING INFORMATION IS UP TO DATE. YOU AGREE TO INDEMNIFY AND HOLD HARMLESS ITRUST VENTURES, AND ITS DIRECTORS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, INDEPENDEND CONTRACTORS, AND OTHER PARTNERS FROM AND AGAINST ANY AND ALL CLAIM, LOSS, EXPENSE OR DEMAND OF LIABILITY, AND COSTS INCURRED, AND HOLD THEM EACH HARMLESS FROM ANY AND ALL CLAIMS OR DEMANDS, INCLUDING ATTORNEY’S FEES, MADE BY ANY THIRD PARTY DUE TO OR ARISING FROM YOUR USE OF THE ITRUST VENTURES SERVICES, WITH REGARD TO ANY DISPUTE BETWEEN YOU AND A CRAFTSMAN, SERVICE ADVISOR OR LICENSEE, OR YOUR VIOLATION OF THESE TERMS OF USE, OR ARISING FROM YOUR VIOLATION OF ANY RIGHTS OF A THIRD PARTY.
General
The laws of the State of Georgia, excluding the application of its conflicts of law rules, will govern these Terms of Use. These Terms of Use will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. The exclusive jurisdiction for any action arising under these Terms of Use shall be the Courts of Fulton County, State of Georgia Failure by iTrust Ventures to enforce any provision(s) of these Terms of Use will not be construed as a waiver of any provision or right. These Terms of Use and any Terms of Use agreement executed by you constitute the entire agreement between you and iTrust Ventures with respect to its subject matter. If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions will be enforced to the fullest extent possible, and the remaining provisions will remain in full force and effect. These Terms of Use will inure to the benefit of iTrust Ventures , its successors and assigns and licensees. The failure of iTrust Ventures to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the iTrust Ventures Services or the Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in the Terms of Use are for convenience only and have no legal or contractual affect. To the extent any of the above is not fully enforceable for any reason, the remainder shall continue to apply.
By using iTrust Ventures, clicking to accept or agree to these Terms of Use, or by otherwise accessing and using any aspect of the iTrust Ventures Platform, you represent and warrant that: (a) you are at least 18 years old, are of legal age to form a binding contract with iTrust Ventures in the jurisdiction in which you reside, and are otherwise capable of entering into binding contracts; (b) you have the right, authority and capacity to enter into this Agreement; and (c) if you are using the iTrust Ventures Platform on behalf of a company, entity, or other organization, then you represent and warrant that you are an authorized representative of that entity with the authority to bind that entity to these Terms of Use, and agree to be bound by these Terms of Use on behalf of that entity. If you do not meet all of these requirements or agree to be bound by the terms and conditions of these Terms of Use you must not use or access the iTrust Ventures Platform or the Services.
The iTrust Ventures Platform and App is licensed to you, not sold to you, and you may use the iTrust Ventures Platform and App only as set forth in these Terms of Use; We will resolve disputes arising under these Terms of Use through binding arbitration. By accepting this Agreement, as provided in greater detail in Section 30, you and iTrust Ventures are each waiving the right to a trial by jury or to participate in a class action;
- Payment Processing Service. To facilitate payment for the Services, each User is required to register a credit card or and each Craftsmen is required to register using the Provider’s bank account details. You authorize us and the payment processing service retained by us (currently, Stripe) to facilitate the transaction of the Services and the payment remittance of all applicable charges and fees between you and other Users and between you and us. All payments transacted through Stripe shall be subject to the Stripe Connected Account Agreement, located at https://stripe.com/connect/account-terms, which includes the Stripe Terms of Service, located at https://stripe.com/us/terms (collectively, the “Stripe Services Agreement”). By agreeing to this Agreement, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of iTrust Ventures facilitating payment processing services through Stripe, you agree to provide iTrust Ventures accurate and complete information about you and, if applicable, your business, and you authorize iTrust Ventures to share it and transaction information related to your use of the payment processing services provided by Stripe.
- Customer Payments. As a Customer, we will charge your credit card according to the amount of all Services and Additional Services, if any, you scheduled through the iTrust Ventures Platform, which amount will include the Job Fee applicable to the Services or Additional Services that were provided to you by your Provider. You hereby authorize us to charge the credit card on file in your account for such amounts upon Service is completed, if there is no filed complaint with respect to such Service being completed, or if such complaint has been otherwise resolved as determined by iTrust Ventures in its sole discretion. We retain the right, in our sole discretion, to place a hold on your credit card for an ordered or completed Service transaction. Any payments paid outside of the iTrust Ventures Platform are not subject to the iTrust Ventures Guarantee and is a violation of the terms of this Agreement.
Except for the iTrust Ventures Guarantee, no refunds or credits will be provided once the Customer’s credit card has been charged. While we will use commercially reasonable efforts to protect all credit card and all other personal information, we expressly disclaim any liability for any damage that may result should any information be released to any third parties, and you agree to hold us harmless for any damages that may result therefrom. The Job Fee quoted is exclusive of taxes. iTrust Ventures is not responsible or liable for any taxes incurred in connection with the Service excluding taxes on iTrust Ventures income. Customers will be liable for all transaction taxes on the Service(s) provided (other than taxes based on iTrust Ventures income).
iTrust Ventures Guarantee
Our iTrust Ventures Guarantee is that the Service you order and pay for will be performed as described in the description of the Service when you ordered it. If you have ordered and paid for a Service but you believe the Service was not performed in accordance with the iTrust Ventures Guarantee you must report the issue within twenty-four (24) hours of the Service appointment to our Support Center at operations@itrust.com or the appropriate contact email address given to you by the licensee and respond to all follow up questions requested of you from the Support Center, and you may be eligible for the iTrust Ventures Guarantee Remedies. The “iTrust Ventures Guarantee Remedies” are as follows: if we determine that a Service does not meet the iTrust Ventures Guarantee we will, in our sole discretion, either refund the payment you actually made for such Service, or have the applicable Service re-performed. If the Service is re-performed but we determine the re-performance still does not meet the iTrust Ventures Guarantee, we will refund the payment actually made for such Service. The amount of the iTrust Ventures Guarantee is limited to any payment you made for the Service. The iTrust Ventures Guarantee does not apply to any other cost, liability, damage, injury, or claim arising from or in connection with the Services. To be clear, the iTrust Ventures Guarantee does not apply to any payments made for Services not scheduled and paid for through the iTrust Ventures Platform. THIS SECTION STATES ITRUST VENTURES SOLE AND EXCLUSIVE LIABILITY, AND CUSTOMER’S SOLE AND EXCLUSIVE REMEDY, FOR ANY DAMAGES OR CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SERVICES.
Service Cancellation
iTrust Ventures’s cancellation policy for specific Services is as follows:
- Cancellation by Customer. As a Customer, you may cancel your scheduled Service appointments through the App or by contacting your iTrust Ventures at any time, subject to the following:
- Services Booked 24 Hours in Advance
- If you cancel more than 24 hours before a scheduled Service appointment, there is no cancellation fee.
- If you cancel between 2-24 hours before a scheduled Service appointment, you may be charged a $10.00 cancellation fee.
- If you cancel less than 2 hours before a Service appointment, you may be charged a $50.00 cancelation fee.
- Services Booked Less 24 Hours in Advance
For Services that were booked between 2-24 hours before the scheduled Service appointment, you may be charged a $10 cancellation fee if you cancel less than 2 hours before a Service appointment.
- Services Booked 24 Hours in Advance
- Cancellation by Provider. As a Provider, although you may cancel your scheduled Service appointments through the App if necessary, please understand that your cancellations are serious matters and may result in the suspension or deactivation of your Provider Account. If you are more than 15 minutes late for a scheduled appointment (note: the scheduled time for a “Now” appointment is 1 hour from the time you are selected by your Customer) or fail to complete a scheduled Service, you shall be deemed to have cancelled such appointment. When you cancel a scheduled Service appointment, the iTrust Ventures Platform generally notifies your Customer to resubmit the request for Service. iTrust Ventures cannot guarantee that a cancelled Service appointment will be selected by another Provider and rescheduled or that the Service request will be completed. Thus, your cancellation or failure to timely show up to perform a scheduled appointment could negatively impact your Customer and the iTrust Ventures Platform. As a result, such conduct may adversely impact your rating among Customers. PLEASE BE ADVISED THAT YOUR CANCELLATION OF (A) ANY “NOW” APPOINTMENTS, (B) ANY SCHEDULED APPOINTMENTS ON LESS THAN 24 HOURS NOTICE, OR (C) TWO OR MORE SCHEDULED APPOINTMENTS WITHIN A 30-DAY PERIOD IS A VIOLATION OF THE TERMS OF THIS AGREEMENT, WHICH MAY RESULT IN THE SUSPENSION OR DEACTIVATION OF YOUR PROVIDER ACCOUNT.
Location Coordinates
To schedule and accept Services, you must possess an iOS or Android smartphone capable of accessing the iTrust Ventures Platform (the “Mobile Device”). As a Provider, you hereby acknowledge and consent to iTrust Ventures collection of the latitude and longitude location (“Location Coordinates”) of your Mobile Device so that we can provide our services to you and your Customers. For example, we may collect Location Coordinates when you select “Tap to Broadcast” or equivalent on the App for the purpose of providing support in case you and your Customer cannot find each other and ending upon your notification to your Customer and iTrust Ventures that you arrived at the Service location by selecting “I’m Here!” or the equivalent on the App (the “Tracking Period”). In addition, iTrust Ventures collects the Location Coordinates of the Mobile Device on which the iTrust Ventures Platform is installed for other purposes, including for the purpose of referring Services to you from potential Customers in your vicinity, protecting the safety of Customers and Providers, and for legal purposes (such as to enforce our agreements). iTrust Ventures does not collect or use Location Coordinates data for the purpose of controlling or monitoring the manner and means by which you provide the Services contemplated by this Agreement, or the frequency with which you use the iTrust Ventures . By executing this Agreement, you agree to the use and disclosure of Location Coordinates information as described above.

We comply with the provisions of the Digital Millennium Copyright Act applicable to Internet service providers (17 U.S.C. §512, as amended). If you have an intellectual property rights-related complaint about material posted on the iTrust Ventures Platform, you may contact our Designated Agent at iTrust Ventures Ventures LLC., Attn: Copyright Compliance Team, 945 Cranberry Creek, Roswell, GA or operations@itrust.com
Any notice alleging that materials hosted by or distributed through the iTrust Ventures Platform infringe intellectual property rights must include the following information:
- an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other right being infringed;
- a description of the copyright-protected work or other intellectual property right that you claim has been infringed;
- a description of the material that you claim is infringing and where it is located on the iTrust Ventures Platform;
- your address, telephone number, and email address;
- a statement by you that you have a good faith belief that the use of those materials on the iTrust Ventures Platform is not authorized by the copyright owner, its agent, or the law;
- a statement by you that the above information in your notice is accurate and that, under penalty of perjury, you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.
Third Party Software
Software you download in connection with the iTrust Ventures Platform consists of a package of components that may include certain third-party software (“Third Party Software”) provided under separate license terms (the “Third Party Terms”). Your use of the Third-Party Software in conjunction with the iTrust Ventures Platform in a manner consistent with these Terms of Use is permitted; however, you may have broader rights under the applicable Third-Party Terms, and nothing in these Terms of Use is intended to impose further restrictions on your use of the Third-Party Software.
Updates to the iTrust Ventures Platform
We may update the content on this iTrust Ventures Platform from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the iTrust Ventures Platform may be out of date at any given time, and we are under no obligation to update such material.
Notice Regarding Apple (section 38 of iTrust Ventures )
If you are using our mobile applications on an iOS device, the terms of this Section 38 apply. You acknowledge that these Terms of Use are between you and iTrust Ventures only, not with Apple, and Apple is not responsible for the iTrust Ventures Platform or its content. Apple has no obligation to furnish any maintenance or support services with respect to the iTrust Ventures Platform. If the iTrust Ventures Platform fails to conform to any applicable warranty, you may notify Apple and Apple will refund any applicable purchase price for the mobile application to you; and, to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the iTrust Ventures Platform. Apple is not responsible for addressing any claim by you or any third party relating to the Service or your possession or use of the iTrust Ventures Platform, including: (a) product liability claims; (b) any claim that the iTrust Ventures Platform fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation.
Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the iTrust Ventures Platform or your possession and use of the mobile application infringe that third party’s intellectual property rights. You agree to comply with any applicable third-party terms when using the iTrust Ventures Platform. Apple and Apple’s subsidiaries are third-party beneficiaries of Section 38 of these Terms of Use, and upon your acceptance of these Terms of Use, Apple will have the right (and will be deemed to have accepted the right) to enforce this Section 38 of these Terms of Use against you. You hereby represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
Provider Opt-Out of Arbitration. For Providers, arbitration is not a mandatory condition of this Agreement with respect to any dispute or claims brought by iTrust Ventures against a Provider, or for disputes or claims brought by a Provider against iTrust Ventures that: (i) are based on an alleged employment relationship between iTrust Ventures and a Provider; (ii) arise out of, or relate to, iTrust Ventures actual deactivation or suspension of a Provider account or a threat by iTrust Ventures to deactivate or suspend a Provider account; (iii) arise out of, or relate to, iTrust Ventures actual termination of a Provider’s Agreement with iTrust Ventures, or a threat by iTrust Ventures to terminate a Provider’s Agreement; or (iv) arise out of, or relate to, Job Fees (as defined in this Agreement, including iTrust Ventures Use Fee or tips, other than disputes relating to referral bonuses, other iTrust Ventures promotions, or consumer-type disputes (the subset of Claims in subsections (i)-(iv) shall be collectively referred to as “Provider Claims”).
If you do not want to be subject to this Dispute Resolution provision with respect to Provider Claims, you may opt out by notifying the Company in writing of your decision, either by sending, within thirty (30) days of the date you receive this Agreement, (1) an electronic mail to operations@itrust.com, stating clearly your name and intent to opt out of this Dispute Resolution provision or (2) by sending a letter by U.S. Mail, or by any nationally recognized delivery service (e.g., UPS, Federal Express, etc.), or by hand delivery to: Legal Department, iTrust Ventures,LLC – 945 Cranberry Creek, Roswell, GA -30076. To be effective, the letter under option (2) must clearly indicate your intent to opt out of this Dispute Resolution Provision and must be dated and signed. If hand delivered, the signed letter must be received within thirty (30) days of your receipt of this Agreement. If sent by mail, the letter must be post-marked with a date less than thirty (30) days from the date you receive this Agreement. Should you choose not to opt out of this Dispute Resolution Provision within the 30-day period, you and iTrust Ventures will be bound by the terms of this Dispute Resolution Provision. You have the right to consult with counsel of your choice concerning this Dispute Resolution Provision. You understand that you will not be subject to retaliation if you exercise your right to opt out of coverage under this Dispute Resolution Provision
Development and Testing
For purposes of developing and testing the iTrust Ventures Platform, on occasion a iTrust Ventures representative may schedule or perform Services on the iTrust Ventures Platform. On such occasions, the contract for such Service shall between iTrust Ventures and such User and shall be governed by the applicable terms of this Agreement, including, but not limited, to Section 30 above.
Privacy Policy
This privacy policy (“Policy”) describes how iTrust Ventures LLC and our affiliates and subsidiaries (iTrust Ventures or “we” or “us” or “our”) treats information collected or provided in connection with transactions, activities, and data gathered when a User (“you” or “User”) visits or uses the iTrust Ventures Platform. This Policy is incorporated by reference into the Terms of Service. Any capitalized terms used and not defined in this Policy shall have the meaning given to them in the Terms of Service.
Please note that the use of the iTrust Ventures Platform constitutes your acceptance of this Policy. If you do not agree with how we have determined to handle your information, please do not visit or use the iTrust Ventures Platform.
- Effective Date and Changes
This Policy applies to all information collected by or provided to us on or after the Effective Date of May 1, 2018. iTrust Ventures will periodically review and revise this Policy as iTrust Ventures modifies the Platform and will update the Effective Date above upon any such changes. We will treat your continued use of the iTrust Ventures Platform following such changes as your acceptance of them. We encourage you to periodically review this Policy.
If our practices change regarding previously collected Personal Information in a way that would be materially less restrictive than those policies in effect at the time we collected the information, we will make reasonable efforts to provide notice and to obtain consent to any such uses as may be required by law, but we will not be liable for any failure to do so.
- Personal Information Collected on the iTrust Ventures Platform
Because we respect your rights to your own privacy, we are committed to our policies established for the collection and/or use of your “Personal Information,” which is hereby defined as “full name, username, postal address, phone number, email address, age, birth date, and any information that could be used to identify, contact, or locate you directly without using the iTrust Ventures Platform.”
For the purposes of this Policy, Personal Information does not include your photograph or other image. iTrust Ventures has determined to establish separate policies specifically governing the use of photographs for and on the iTrust Ventures Platform in Section 5 herein and further in “Photographs” provision of our Terms of Service.
By using the iTrust Ventures Platform, you are authorizing us to collect, parse, and retain data related to the provision of the iTrust Ventures Platform. However, we also provide Users with options and choices regarding how we use and disclose some or all of your Personal Information, as set forth specifically below, including how to access, correct, and/or remove it. You may avoid further said data collection by uninstalling the App from your mobile device and not otherwise using the iTrust Ventures Platform. When you visit or use the iTrust Ventures Platform, we collect information about you in the following general categories.
Location Information: We collect precise location data through the App when it is used by Providers if the Providers’ devices permit such information collection. We may collect this information when Providers use certain functionality, such as navigating to a location to provide the Services, and we may also collect the precise location of a Provider’s device when the App is running in the foreground or background. We may derive a Provider’s approximate location from the Provider’s IP address. The iTrust Ventures Platform utilizes geo-location features to match Customers to Providers, t, to confirm that a Provider performed Services, and to improve the services on the iTrust Ventures Platform.
We also may use and disclose geo-location we collect through the iTrust Ventures Platform for other business purposes, including for legal purposes (such as to enforce our agreements) and in the event of a proposed or actual merger, sale, or other business asset transfers. The geo-location information obtained about a User will be retained in an identifiable manner, along with geo-location data about job sites where Providers performed Services on initial and/or follow-up jobs.
Transaction Information: We collect transaction details related to your use of the iTrust Ventures Platform, such as type of service requested, date and time of service, amount charged, intra-User communications, ratings and reviews, and other related transaction details.
Provider Registration and Payment: To register as a provider, you may need to provide other Personal Information, including your social security number, bank account and a U.S. government-issued I.D., and in some jurisdictions we may collect additional business or contractor licenses. We share certain information with our partners who help us by running background checks on providers to help protect the iTrust Ventures community. We may use report information we receive from background check service providers for the purposes of assessing whether to permit an individual to use the iTrust Ventures Platform as a provider and to comply with applicable law. iTrust Ventures Payment Method: When you add a credit card or payment method to your iTrust Ventures account, a third party that handles payments for us will receive your card information. To keep your financial data secure, we do not store full credit card information on our servers.
Customer Support: We may collect Personal Information through your communications with our customer-support team.
Usage and Preference Information: We collect information that is generated automatically about how you and visitors interact with the iTrust Ventures Platform, preferences expressed, and settings chosen. When we associate such information with specific personal information, we will treat the combination as Personal Information, as set forth herein.
Device Information: We may collect information about your mobile device, including the following examples: the hardware model, operating system/version, software names/versions, file names/versions, preferred language, unique device identifier, advertising identifiers, serial number, device motion information, and mobile network information.
Log Information: When you interact with the iTrust Ventures Platform, we collect server logs, which may include device IP addresses, access dates and times, app features or pages viewed, app crashes and other system activity, browser type, and the third-party site/service accessed immediately prior to interacting with the iTrust Ventures Platform.
Third-Party Site Account Access: If you log in to the iTrust Ventures Platform through a social networking site, such as Google or Facebook, we may collect your authentication token, registration information, and account identification number and use that information to provide you with access to your account on the iTrust Ventures Platform.
- Use of Information
We only use your Personal Information for iTrust Ventures-Platform related purposes. (This includes the information collected by our third-party service providers, set forth herein; however, this does not include our use of photographs, which is governed separately). Specifically, the purposes of our “use” include platform-analytics, marketing, advertising, and other purposes designed to help us efficiently operate and improve the iTrust Ventures Platform in the following manner: to contact you in connection with your iTrust Ventures-related activities (including, but not limited to, confirmation emails, account verification text messages, push notification alerts, or important alerts that could affect your relationship with iTrust Ventures), for identification and authentication, for security and fraud prevention, to perform background checks, to investigate potential unauthorized use of your information by a provider, to communicate Service requests from you to other Users, and/or to suggest potential Customers for your Services.
- Advertising and Advertising Opt-Out Provisions
We may use your Personal Information to provide advertising on/for the iTrust Ventures Platform. At iTrust Ventures , however, we do not rent, sell, or share your Personal Information with other parties or nonaffiliated companies for their direct marketing purposes without your express consent. We may also send you email and other messages with personalized offers and information about products and services, and we may use Personal Information to show you online advertising on the iTrust Ventures Platform, other websites, and other online services. iTrust Ventures provides Users the opportunity to opt out of receiving email marketing communications from us and our partners and gives Users the option to remove their information from our database, to not receive future email marketing communications, or to no longer receive our service. Third parties, including Facebook, may use cookies, web beacons, and other storage technologies to collect or receive information from the websites and apps you visit and elsewhere on the internet and use that information to provide measurement services and target ads. You may be able to opt out of receiving personalized advertisements from advertisers and/or advertising networks who are either members of the Network Advertising Initiative or subscribers to the Digital Advertising Alliance’s Self-Regulatory Principles for Online Behavioral Advertising. “Photos” is defined as any photograph(s), image(s), or graphic(s) that we obtain from Users through the iTrust Ventures Platform, including those uploaded by you or other Users, such as profile pictures and service-related job photos (See also additional related policies set forth in “Customer’s Confidential Information” and “Photographs” in our Terms of Use).
Unless we expressly obtain your individual permission, iTrust Ventures will only use your Photos specifically for iTrust Ventures-platform related purposes, such as showing job-related pictures as well as marketing, advertising, and other related purposes. iTrust Ventures enables Users to post job-related pictures, including “before” and “after” job pictures, to third-party websites and apps. iTrust Ventures will not share your Photos with other third parties for their direct marketing purposes.
- Disclosure of Information to Others
When you use the iTrust Ventures Platform, our third-party partners, such as ad networks and analytics providers, use tracking technologies to collect information about how the iTrust Ventures Platform is used and about the devices used to access the iTrust Ventures Platform. Our partners also may collect information about your online activities over time and on other websites or apps. When our third-party partners provide such features, they are governed by the privacy policies of their governing organizations. You may be able to change browser or app settings to block and delete these technologies when you access the iTrust Ventures Platform, but that might interfere with the iTrust Ventures Platform’s proper functioning.
To operate the iTrust Ventures Platform, including processing your transactions and supporting your activities on the iTrust Ventures Platform, we may share your Personal Information with vendors, agents, and third-party service providers in exchange for their support services like email origination, receipt/support services, and other user relationship management services.
As set forth herein, we do not rent, sell, or share Personal Information (as defined by California Civil Code § 1798.83) about you with other people or nonaffiliated companies for their direct marketing purposes unless we have your permission. We may allow access to other data collected by the iTrust Ventures Platform to enable the delivery of our online advertising on the iTrust Ventures Platform and on other websites and online services, or to send you information we think may be useful or relevant to you. Checkr: We use Checkr for purposes of performing background checks on Providers that register to perform Services for Customers on the iTrust Ventures Platform. During the registration process, the information you provide to Checkr is transmitted using SSL encryption, which is a primary tool in protecting sensitive operations with web servers during data transport of information that allows for a secure connection between the two parties. Other Users: When you agree to provide Services as a Provider, we will display certain information about you to the Customer who requested the work, including your name, geo-location, and rating. When you submit a service request as a Customer, we will display certain information about you to providers, including your name, address, photograph (if any), rating, and photographs of the job site.
Social Networking and Other Websites:The iTrust Ventures Platform may allow you to share information, including Personal Information, with social networking websites, such as Facebook, Google, etc. We do not share your Personal Information with them unless you specifically authorize it. If you choose to log in to the iTrust Ventures Platform through social networking websites, we may share information about your account with the social networking site. Their use of the information will be governed by their privacy policies, and you may be able to modify your privacy settings on their websites. Legal and Similar Disclosures: We may access, preserve, and disclose collected information, if we believe doing so is required or appropriate in the following situations: to comply with law enforcement requests and legal process, such as a court order or subpoena; to respond to your requests; or to protect your, our, or others’ rights, property, or safety. We may also disclose information as part of a dispute among Users.
Merger, Sale, or Other Asset Transfers: If we are involved in a merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, sale of iTrust Ventures assets, or transition of service to another provider, your information may be sold or transferred as part of such a transaction as permitted by law and/or contract. We cannot control how such entities may use or disclose such information. With Your Permission: We may also disclose your Personal Information with your permission as set forth herein.
- Information Collected by Cookies and Other Technologies
Like most online services and mobile applications, we and our third-party service providers may use cookies, web beacons, and similar tracking technologies to collect information about your activity from the computer or devices you use to access the iTrust Ventures Platform. A cookie is a file saved on a user’s hard drive that stores certain information about user activity. Users must agree to let cookies be saved for them, and most web browsers are set to accept cookies by default. Although you can modify your browser/device settings to reject cookies if desired, this could potentially affect the availability and functionality of our services.
Any third party with whom we are allowed to share your Personal Information is authorized to use your Personal Information in accordance with our contractual arrangements with such third parties and in accordance with their own privacy policies, over which we have no control. You agree that we are not responsible or liable for any of their actions or omissions. Those who contact you will need to be instructed directly by you regarding your preferences for the use of your Personal Information by them.
- How to Edit Your Personal Information
iTrust Ventures provides you with the ability to access and edit your Personal Information: Sign into the app, access the Settings menu, and then view and update/correct your account information. So that we can protect the integrity of sensitive data, there are certain pieces of information, such as your age, that you cannot alter yourself.
- Information Retention
To preserve the integrity of our databases, standard procedure calls for us to retain information submitted by members for an indefinite length of time. You agree that we may store the information we collect for this indefinite length of time. - Children’s Information
We do not knowingly collect information from children under 13, as the iTrust Ventures Platform is not directed at Users under 18. If you are a parent and believe that your child under the age of 13 has used the iTrust Ventures Platform and provided personal identifiable information to us through the iTrust Ventures Platform, please contact us so we can delete that account and/or any Personal Information collected from them on the iTrust Ventures Platform.
- Our Security Precautions
Your iTrust Ventures profile is password-protected so that only you and authorized iTrust Ventures employees have access to your account information. In order to maintain this protection, do not give your password to anyone. iTrust Ventures staff will never proactively reach out to you and ask for any personal account information, including your password. If you share a computer or mobile device, in order to protect your information entered on public terminals from disclosure to third parties, you should sign out of your iTrust Ventures account and close the browser window before someone else logs on. iTrust Ventures has security measures in place intended to help protect against the loss, misuse, and alteration of the information under our control. International. Your information may be transferred to and maintained on computer networks which may be located outside of the state, province, or other governmental jurisdiction in which you reside; and the privacy laws governing the country/jurisdiction of these computer networks may be less protective.
iTrust Ventures takes steps to ensure that your information is secure on its system. Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. As a result, iTrust Ventures cannot guarantee the security of any information you transmit to us, and you do so at your own risk. This Policy applies solely to information collected by the iTrust Ventures Platform. The iTrust Ventures Platform may contain links to other websites, charitable organizations, or online services; and we of course are not responsible for other websites’ privacy practices. We advise Users upon leaving the iTrust Ventures Platform to carefully review the privacy statements of any website that collects personally identifiable information.
